ABUJA, NIGERIA — The Corporate Affairs Commission (CAC) has executed a massive “surgical operation” on Nigeria’s corporate database, deregistering over 400,000 inactive companies. Registrar-General Hussaini Magaji announced the move as a strategic effort to sanitize the registry and eliminate “shell companies” that threaten economic transparency.

The Data: A Tale of Two Registers

The CAC is moving away from just “registering” businesses to “monitoring” them. The data highlights a shift toward high-integrity corporate governance.

  • The 400k Cleanup: Over 400,000 companies were struck off the register for failing to file annual returns, effectively labeling them as dormant or high-risk entities.
  • The “Gift” of Growth: In 2025, the CAC facilitated 250,000 free registrations for MSMEs through SMEDAN, aiming to formalize the informal sector and boost the tax base.
  • Beneficial Ownership: The newly operationalized Beneficial Ownership Register now serves as a global reference point, revealing the actual individuals behind every corporate entity in Nigeria.

Cybersecurity and Transparency: “Nowhere to Hide”

From a security perspective, this move is a deterrent against Illicit Financial Flows (IFFs). Inactive companies are often hijacked for fraudulent activities or used to obscure the movement of funds. By enforcing the Beneficial Ownership Register, the CAC is ensuring:

  1. Traceability: Investigators can now identify the “ultimate people” behind a company.
  2. Credibility: International investors can verify Nigerian partners through a credible, active registry.
  3. Risk Mitigation: Removing 400,000 dormant files reduces the administrative and security “noise” in the national business database.

As the Commission turns 35, the Registrar-General also announced internal milestones aimed at sustaining this momentum into 2026:

  • Infrastructure: Plans to establish a dedicated hospital managed by the CAC.
